CAREL adopts Model 231 and implements a Code of Ethics

Completing a procedure aimed at improving the management of Governance and Compliance processes, CAREL has adopted an Organisational, Management and Control model, as specified in Italian Leg. Decree 231/01 (hereinafter “Model 231”), which represents a set of rules and organisational procedures for preventing certain offenses from being committed by “senior management” or “ members of staff / employees”, in the interest of or to the advantage of the companies that employ them. An integral part of this Model is the Code of Ethics: the Model and Code of Ethics are together made up of a systematic series of internal rules whose purpose is to ensure that CAREL’s ethical values are clearly defined and represent the cornerstone of the company’s culture, as well as defining standards of behaviour for all employees. 

“Despite not being mandatory, we have decided to adopt Model 231 in order to offer our customers and stakeholders the highest standards”, commented Carlo Vanin, Chief HR&Organization Officer. “Over the next few months we will be providing training for senior management and information to all employees so as to guarantee correct and consistent dissemination and operational application of the principles and rules of Model 231 and the Code of Ethics”.

On adopting Model 231, CAREL has also established a Supervisory Body, whose task is to ensure application of the rules internally. The Supervisory Body will periodically verify compliance with the requirements of Model 231 and the Code of Ethics, report any need to adapt these based on changes to the laws, suggesting any amendments and additions, and be responsible for dissemination. Finally, it will guarantee and assist individuals who report non-compliant behaviour, liaising regularly with the administrative body.
